PUBLIC OFFER

In accordance with Art. 437 of the Civil Code of the Russian Federation, this document is an official Public Offer of AFRICA CALLING LLC, INN - 9725151116/OGRN 1247700134340, hereinafter referred to as the "Contractor", and contains all the essential terms of the agreement.

In accordance with Art. 438 of the Civil Code of the Russian Federation, full and unconditional acceptance (acceptance) of this Offer is the entry of registration data in the registration form and confirmation of the accuracy of this data by clicking the "Register", "Buy a ticket" or similar button. Acceptance of the Offer is equivalent to the conclusion of an agreement , on the terms set out in the Offer. In connection with the above, carefully read the text of this public Offer, and if you do not agree with any point of the Offer, the Contractor suggests that you refuse to participate in the event.

Customer - an individual or legal entity that has accepted the terms of this Offer.
Event - Business Forum "AFRICA CALLING FORUM".

subdomains. Participant of the event/Representative of the Customer - an individual who directly participates in the Event and in whose favor the Customer concluded this Agreement and purchased tickets on the Contractor's website. Electronic ticket - a document confirming the right to a certain action, in this case, attending an event.


1. SUBJECT OF THE AGREEMENT

1.1. In accordance with this Offer, the Contractor offers the Customer, who has accepted (accepted) the Contractor's Agreement (Offer) and made payment on the website, to accept this Offer for the provision of information and consulting services (hereinafter referred to as the "Services", "Event"). in accordance with the information (including the name,

1.2. Before paying for services, the Customer must read this Offer and accept it. Payment for the Contractor's services shall constitute the Customer's consent to the terms and conditions stipulated in this Offer.
1.3. The Contractor shall provide services to the Customer only in the event of payment for its services, as well as the submission of a corresponding electronic application on the Website in accordance with the terms and conditions of this offer.
1.4. Services are provided by the Contractor on a paid basis by selling Electronic tickets through the website https://africacallingforum.com/. The cost of Electronic tickets is indicated on the corresponding page of the Website on the Internet.
1.5. Services are provided by the Contractor to the Customer (Event Participants) who have purchased a ticket for the Event on the Contractor's website.
1.6. The Contractor's services shall be deemed to have been rendered upon presentation of the
Electronic ticket to the Customer or his authorized person when the holder of the Electronic ticket attends the Event.
1.7. Services are provided to the Customer on the terms of 100% Prepayment in accordance with the terms published on the Contractor's Website.
1.8. Information about the cancellation, change of date, time, format of the Event is communicated to the Customer by posting it on the Contractor's website, at the address in the Internet network https://africacallingforum.com/ The Customer is obliged to independently monitor such information on the website.


2 RIGHTS AND RESPONSIBILITIES OF THE PARTIES

2.1. Rights of the Contractor:
2.1.1. The Contractor has the right, when rendering services under this agreement, to engage third parties for their provision.
2.1.2. Independently determine the methods, means and procedure for rendering services.
2.1.3. Unilaterally change the date, time, period, program, format of rendering information and consulting services without changing the duration of their provision.
2.1.4. Unilaterally change the cost of services rendered without placing prior notice to the Customer, with the exception of the cost of services already paid for by the Customer.
2.1.5. Without the consent of the Customer, replace third parties when providing

information and consulting services.
2.1.6 The Contractor has the right to change the date, time, and place of the Event. The Customer is obliged to independently monitor such information on the Contractor's website.
2.1.7 The Contractor has the right to refuse to provide services to the Customer and/or the Participant
of the event, without reimbursing the cost of tickets in the following cases:
● being on the territory of the event in a state of toxic and/or alcoholic intoxication;
● causing damage to third parties and/or the property of the Contractor or third parties;
● violation of public order, expressing obvious disrespect for society, accompanied by obscene language, offensive harassment of citizens.
● bringing prohibited substances, weapons and other property into the territory of the event that creates a danger to persons participating in the event.
2.2. Obligations of the Contractor:
2.2.1. Provide services with high quality, on time, in accordance with the terms of this agreement.
2.2.2. Promptly inform the Customer of all significant changes affecting the fulfillment of the terms of this Agreement.
2.2.3. Do not disclose information and data received in the course of providing services.
2.2.4. Within 5 (five) days from the date of receipt of payment from the Customer. send the Participant Questionnaire form.
2.3. Rights of the Customer:
2.3.1. Receive information and consulting services from the Contractor, in the manner and on the terms of this agreement.
2.3.2. Receive from the Contractor, by posting on the Site, complete, timely and reliable information regarding the terms and conditions for the provision of information and consulting services.
2.3.3. Refuse information and consulting services, in the manner and on the terms provided for in Section 3 of this Offer.
2.3.4. The Customer has the right, on a one-time basis, to postpone his participation in the event to a new date, having notified the Contractor at least 10 days before the date of the event for which the Customer purchased a ticket. If the Contractor agrees to postpone the Customer's participation to a new date, an Additional Agreement shall be signed between the parties. than the cost of the event for which the ticket was purchased by the Customer, the difference in price is subject to additional payment by the Customer within 3 (three) days from the date of approval by the Contractor of the transfer of the Customer's participation. In the absence of additional payment for the difference in price, participation in the Event is not transferred to a new date.
2.4. Customer's Obligations:
2.4.1. Pay for services under the terms of this agreement.
2.4.2. Do not take photos or videos during the event, do not transfer information received during the provision of information and consulting services to third parties. All information received within the framework of the services provided is intended solely for personal use.
2.4.3. Before concluding this agreement, familiarize yourself with the Personal Data Processing Policy, reference information and other recommendations of the Contractor, posted on the website. Acceptance means the Customer's consent to the specified documents.
2.4.4. Independently and promptly familiarize yourself on the Website with the list of consulting services, the procedure and terms of their provision.
2.4.5. Within 7 (seven) days, but no later than 3 (three) days before the start of the Event, fill out the questionnaire sent by the Contractor, received from him, indicating the Last Name, First Name, Patronymic, contact phone number of the event participant.


3. TICKET RETURN PROCEDURE

3.1. The Customer has the right to return electronic tickets before the start of the provision of services in the following order:
3.1.1. If the Customer refuses to participate in the event, for any reason, no later than 11 days before the start of the event, the payment made by the Customer is returned to his bank account in the amount of 100%.
3.1.2. If the Customer refuses to participate in the event, for any reason, starting from the 10th to the 6th day before the start of the event, the payment is returned to the Customer's bank account in the amount of 70% of the amount paid by the Customer.
3.1.3. If the Customer refuses to participate in the event, for any reason, starting from the 5th to the 3rd day before the start of the event, the payment is returned to the Customer's bank account in the amount of 50% of the amount paid by the Customer.
3.1.4. In case of cancellation of participation in the event less than 3 days before its start, the payment made by the Customer is not refundable and is counted towards compensation of expenses of the Contractor incurred in connection with the provision of services provided for by this Offer.
3.2. In case of cancellation of the event, funds are returned in the manner

provided for by this Offer, in case of postponement of the event, tickets remain valid for the Event on the new date. If it is impossible for the Customer/Customer's Representative to participate on the new date of the event, the Customer has the right to exchange the ticket for participation in any other similar event of the Contractor.
3.3. In the above cases, the request for a refund must be sent by the Customer to the Contractor by e-mail, vozvrat@houseofafrica.ru Such a request must include: Last name, First name, Patronymic
of the Customer/Event Participant, E-mail address to which the Order was placed (the Electronic ticket was delivered); Reason for return; Method of payment for the Electronic ticket. Details for
refund of funds.
3.4. The period for refund of payment on the grounds specified in clause 3.1. of this Agreement, is 30 working days from the date of receipt by the Contractor of the letter on the refund of funds from the Customer.


4. LIABILITY OF THE PARTIES

4.1. Under this agreement, the parties shall be liable in accordance with the current legislation of the Russian Federation.
4.2. The Customer shall be liable for the timely payment for the Contractor's services and the accuracy of the data provided to the Contractor.
4.3. The Contractor shall not be liable if the impossibility of performing services under this agreement, if the impossibility of such performance, arose due to the fault of the Customer or third parties, including, but not limited to, the failure of the Customer/representative of the Customer to appear at the event. If the impossibility of performance arose due to the fault of the Customer or third parties,
the Customer shall be obliged to pay for the Contractor's services in full, regardless of whether the services were actually used.
4.4. The Parties shall be exempted from liability for partial or complete failure to fulfill obligations under this Agreement if it was a consequence of force majeure circumstances such as: flood, fire, earthquake and other natural disasters, epidemic, war, civil war, military operations, military and
state coups, imposition of martial law, emergency regime, counter-terrorist operation and similar
in the region where the event is held, uprisings, riots, revolution, military or other illegal seizure of power, rebellion, terrorist act, expropriation, confiscation, requisition, nationalization. strikes, issuance of acts by state authorities, to one degree or another restricting the activities of the parties to the agreement, other circumstances, including restrictive measures taken and established by federal authorities

state authorities and state authorities of the city of Moscow and the Moscow region in order to prevent the spread of coronavirus and other infections, including the introduction of a high alert regime of an emergency regime if these circumstances directly affected the fulfillment of contractual obligations by the Parties.
4.5. The Parties have determined that force majeure circumstances, for the purposes of this Offer, include the diagnosed and confirmed viral disease Covid19 in the Customer (an individual) on the date of the event specified in the ticket.
4.5.1. The Customer who has become aware of this circumstance is obliged to notify the Contractor about it within 24 hours from the moment he became aware of it, but not later than 00:00 minutes on the day of the start of the event.
4.5.2. In the event of this circumstance, the deadline for fulfilling the Contractor's obligation provided for in this Offer is postponed in proportion to the duration of these circumstances, or is postponed to the date of the Contractor's next event.
4.5.3. In the event of failure by the Customer to notify the Contractor, or notification later than 00:00 on the day of the start of the event, failure to provide documents confirming the occurrence of the circumstances stipulated by paragraph 4.5. of this Offer, tickets are returned in the manner provided for in paragraph 3.1. of this Offer, and in the event of notification less than 3 days before the start of the Event, no refund is made.
4.6. In the event of the occurrence of the circumstances specified in paragraphs 4.4, 4.5. of this
agreement, the agreement shall continue to be in effect, and the term for the Fulfillment of Obligations shall be shifted
in proportion to the time during which such circumstances are in effect. Upon expiration of the
force majeure circumstances, the Contractor shall notify the Customer of a new date for the event. The Contractor is not obliged to notify the Customer of the occurrence of force majeure circumstances if such circumstances are well known.
4.7. If force majeure circumstances last for more than 6 months, then each of the Parties shall have the right to decide to terminate the Agreement. In this case, neither Party has the right to demand compensation for possible losses from the other Party.
4.8. The Contractor shall not be liable for the event's non-compliance
with the expectations of the Customer/Representative of the Customer and his subjective opinion.


5. DISCLAIMER

5.1. Information and consulting services provided by the Contractor and third parties within the framework of the provision of services at the Event are for informational purposes only and contain only the individual opinions of the Contractor and third

parties engaged by the Contractor. The Contractor does not claim that all the provided data and information are the only correct ones. The Contractor has the right to engage third parties authorized to provide information and consulting services to provide services.
5.2. The Contractor is not responsible for the use of information received by the Customer within the framework of the event, as well as for the possible consequences of its use, and does not guarantee the achievement of the result.
5.3. Any similarity of the information presented at the Event with third-party materials is accidental.


6. FINAL PROVISIONS

6.1. The relations between the Contractor and the Customer are governed by the law of the Russian
Federation.
6.2. In case of questions and claims from the Customer, he must contact the Contractor by sending a claim, the claim is considered within 30 (thirty) calendar days from the date of completion of the services.
6.3. Based on the results of the claim review, a reasoned decision is made, which is sent to the e-mail address specified by the Customer.
6.4. The parties will try to resolve all disputes that arise through negotiations, if an agreement is not reached, the dispute will be referred for consideration to the judicial authority at the location of the Contractor.
6.5. Recognition by the court of the invalidity of any provision of this Offer and the rules does not entail the invalidity of the remaining provisions.
6.6. The parties recognize the legal force of all notifications and additions to the concluded agreement sent by electronic means of communication.
